4. Payment Terms

For our OpenClaw Managed Hosting and other services:

• Setup fees are due immediately upon service initiation
• Monthly subscription fees are billed in advance
• First month is free for OpenClaw Managed Hosting (starting from setup date)
• All fees are non-refundable except as specified in our Refund Policy
• We reserve the right to change pricing with 30 days notice

5. Service Level Agreement

We strive to maintain 99.9% uptime for our hosted services. However, we do not guarantee uninterrupted service and shall not be liable for any downtime caused by:

• Scheduled maintenance
• Force majeure events
• Third-party service failures
• Actions or omissions by the client

6. Intellectual Property

All content, software, and technology provided by NextGen Technology remains our intellectual property. Custom solutions developed specifically for clients become the client's property upon full payment, except for our underlying frameworks and tools.

7. Confidentiality

We maintain strict confidentiality regarding client data and business information. We will not disclose confidential information to third parties except as required by law or with your explicit consent.

8. Limitation of Liability

To the maximum extent permitted by law, NextGen Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use the services will immediately cease.
